LIMITLESS COLOR+ MEMBERSHIP TERMS & CONDITIONS

These Limitless Color+ Membership Terms and Conditions (the “Limitless Color+ Terms”) govern your access to and use of the Limitless Color+ Membership, as defined below, provided by Madison Reed (“Madison Reed”) through your (i) use of our web site at www.madison-reed.com, including any subdomain thereof (the “Site”) our mobile device application (the “App”), (ii) use of our services when you visit one of our “Color Bar” hair salon locations. To make these Limitless Color+ Terms easier to read, the Limitless Color+ Membership, the Site, and the App are collectively called the “Services.”

BY AGREEING TO THE LIMITLESS COLOR+ TERMS AND ELECTING TO PURCHASE A LIMITLESS COLOR+ MEMBERSHIP, YOU ACKNOWLEDGE THAT YOUR LIMITLESS COLOR+ MEMBERSHIP HAS RECURRING PAYMENT FEATURES AND YOU ACCEPT RESPONSIBILITY FOR ALL RECURRING PAYMENT OBLIGATIONS PRIOR TO CANCELLATION OF YOUR LIMITLESS COLOR+ MEMBERSHIP BY YOU OR MADISON REED. YOUR LIMITLESS COLOR+ MEMBERSHIP CONTINUES UNTIL CANCELED BY YOU OR WE TERMINATE YOUR ACCESS TO OR USE OF THE SERVICES OR LIMITLESS COLOR+ MEMBERSHIP IN ACCORDANCE WITH THE LIMITLESS COLOR+ TERMS, OR THE MADISON REED TERMS OF SERVICE, AS APPLICABLE.

1. AGREEMENT TO LIMITLESS COLOR+ TERMS AND OTHER INCORPORATED AGREEMENTS

By using the Services, you agree to be bound by these Limitless Color+ Terms and other agreements incorporated into the Limitless Color+ Terms by reference, including the Madison Reed Terms of Service available here and the Madison Reed Privacy Policy available here. To the extent there are any inconsistencies with respect to specific aspects of the Services between these Limitless Color+ Terms and another agreement you enter into with Madison Reed (including, without limitation, the Madison Reed Terms of Service), these Limitless Color+ Terms shall take precedence in relation to the specific aspects of the Services to which they apply. You may use the Limitless Color+ Membership only if you are 18 years or older and capable of forming a binding contract with Madison Reed and are not barred from using the Limitless Color+ Membership under applicable law.

2. LIMITLESS COLOR+ SERVICES AND OFFERS

We offer a program where you can purchase a “Limitless Color+ Membership ” (“Limitless Color+ Membership” or “Membership”). The Limitless Color+ Membership is open to natural persons in the United States only and any benefits under the Limitless Color+ Membership are non-transferable (including Loyalty Rewards). You can take advantage of the Limitless Color+ Membership benefits as we make them available to you from time to time. The Limitless Color+ Membership grants you access to certain services, products, and promotional offers (communicated to you from time to time) at all our Hair Color Bars and online. Please see the Limitless Color+ Membership Landing Page for more details on the benefits offered with the Limitless Color+ Membership. We may add, remove, or otherwise change these Limitless Color+ Terms and the list of services or products that you are eligible to receive with your Limitless Color+ Membership from time to time in our sole discretion. Applicable changes will either be posted to these Limitless Color+ Terms, to the Limitless Color+ Membership Landing Page available here, or communicated to you via email.

3. PURCHASE AND PAYMENT FOR LIMITLESS COLOR+ MEMBERSHIP

If you purchase a Limitless Color+ Membership, you will be charged an annual Limitless Color+ Membership fee, stated as every 52-weeks from original purchase date, plus any applicable taxes and other charges (“Limitless Color+ Annual Membership Fee”), at the beginning of your Limitless Color+ Membership and every calendar year from then on, unless terminated earlier in accordance with these Limitless Color+ Terms (“Limitless Color+ Membership Period”). Subject to applicable law, we will notify you before your Limitless Color+ Membership Period renews. Your Limitless Color+ Annual Membership Fee is non-refundable. Product is eligible for return within 30 days of delivery. The Company reserves the right to review additional refunds on a discretionary basis.

Our third-party payment processor will automatically charge you based on your Payment Information (as defined in the Madison Reed Terms of Service) at the beginning of each new Limitless Color+ Membership Period (i.e. annually) commencing after the initial Limitless Color+ Membership Period for your Membership. You will receive confirmation at the email you specified in your Account (as defined in the Madison Reed Terms of Service) after your Payment Information is charged at each Limitless Color+ Membership Period. Your Payment Information will continue to be charged until you cancel your Membership (i.e. opting out of automatic renewal in your Account using the App, Site or calling Customer Service) or your Membership is otherwise terminated.

4. CANCELING LIMITLESS COLOR+ MEMBERSHIP

YOUR LIMITLESS COLOR+ MEMBERSHIP PURCHASE IS FINAL AND SUBJECT TO APPLICABLE LAW. PRODUCT IS ELIGIBLE FOR RETURN WITHIN 30 DAYS OF DELIVERY. THE COMPANY RESERVES THE RIGHT TO REVIEW REFUNDS ON A DISCRETIONARY BASIS. LIMITLESS COLOR+ MEMBERSHIP LOYALTY AND PERKS WILL BE REVOKED IF PRODUCT IS RETURNED WITHIN STATED PERIOD. YOU MAY, HOWEVER, CANCEL YOUR LIMITLESS COLOR+ You may cancel your Limitless Color+ Membership at anytime via the Site, the App or contact Madison Reed customer service. You will be responsible for all Limitless Color+ Membership Fees (plus any applicable taxes and other charges) incurred for the then-current Limitless Color+ Membership Period. If you cancel / opt-out of automatic renewal, your right to use the Limitless Color+ benefits in accordance with your Limitless Color+ Membership will continue until the end of your then-current Limitless Color+ Membership Period (with certain exceptions in relation to any expiration of Loyalty Rewards (see below)) and will then terminate without further charges.

5. SHIPPING

One benefit of the Limitless Color+ Membership is free shipping in certain circumstances. As a Limitless Color+ Member, you will receive free standard shipping to you at a single address anywhere in the U.S. on all orders of Madison Reed products placed by you during your Limitless Color+ Membership Period only. Return shipping costs, non-standard shipping costs, and shipping costs to locations outside of the U.S. are not included as part of Limitless Color+ Membership and additional shipping charges may apply in those instances. Any extra shipping fees incurred if shipping addresses are not updated at time of purchase, are also not included as part of Limitless Color+ Membership.

6. LOYALTY REWARDS

As a Limitless Color+ Member, you are eligible to earn loyalty rewards (“Loyalty Reward”) depending on how much you spend (“Loyalty Spend Threshold”) at the Site, the App, or at a Hair Color Bar location. Please see the Limitless Color+ Membership Landing Page for specific details on the Loyalty Rewards and Loyalty Spend Thresholds. Unless otherwise specified in a promotion, all Madison Reed products and services purchased on the Site, the App, or at a Hair Color Bar Location qualify towards the Loyalty Spend Threshold, so long as you are logged-in to your Account during checkout. Loyalty Rewards will be issued to you on the date that you reach the Loyalty Spend Threshold (“Reward Issue Date”). If awarded to you, your Loyalty Reward will be available to use on your next order with Madison Reed (whether on the Site, the App, or at a Hair Color Bar location). Unless otherwise specified in a promotion, Loyalty Rewards are redeemable on all Madison Reed products and services, excluding tax and tips.

Subject to applicable law, any unused Loyalty Rewards will expire sixty (60) days from the Reward Issue Date.

Your Loyalty Rewards will not apply to any renewal of your Limitless Color+ Annual Membership Fee.

Subject to applicable law, at any time we may amend, modify, supplement, or terminate the structure for earning Loyalty Rewards or Loyalty Spend Thresholds, even though such changes may affect the value of the Loyalty Rewards or the ability to obtain certain rewards.

If the Limitless Color+ Membership is terminated, all unredeemed Loyalty Rewards will be forfeited without any obligation or liability and will not be honored upon termination or after the conclusion of the notice period, if any notice is required by law. IMPORTANT NOTE: Loyalty Rewards have no cash value and cannot be exchanged for cash or credit. You have no ownership interest in the Loyalty Rewards, and these Loyalty Rewards collected do not constitute property. The use of the word “earn” or similar language in marketing materials and these Limitless Color+ Terms in relation to the Limitless Color+ Membership does not imply that the Loyalty Rewards have any value prior to conversion or redemption. Loyalty Rewards may not be purchased or sold and are not transferable.
